TERMS AND CONDITIONS

AGREEMENT TO TERMS

The Terms and Conditions (“Agreement”), created on the Effective Date and last amended on the date above, is made between you (“Customer,” “user,” “you,” or “your”) and:

This Agreement governs your access to and use of our websites, applications, software, platforms, tools, and services, including any related media forms, channels, or mobile applications (collectively, the “Website” and “Services”). By accessing or using the Website or Services, you accept and agree to be bound by this Agreement. If you do not agree, do not access or use the Website or Services.

 

DEFINITIONS

Customer Data: All data uploaded, stored, provided, or processed by you through the Services.

Usage Data: Operational, diagnostic, telemetry, and analytics data derived from use of the Services.

Standard Services: The features and functionality set forth in the “Scope of Services” section.

Additional Features: New or optional features Talos Title may release from time to time that are not essential to operation of the Standard Services and may require additional fees.

Order Effective Date: The start date for your subscription or paid Services, as set during signup, in a customer order, or otherwise confirmed by Talos Title.

 

SCOPE OF SERVICES

  1. a) Standard Services:

Talos Title agrees to provide access to the following Standard Services:

– Abstract Builder provides the following features and capabilities: drag and drop documents, OCR, instrument specific processing, data extraction, automated indexing, AI document type detection, signature detection, stamp detection,1-click back title, abstract assembly automation, runsheet auto-matching, title gap identification, exportable abstract PDF, instrument auto-sort, document specific notes, abstract collaboration, data search within document, user-centric design, industry standard data encryption, 1 month unlimited customer support, 2 onboarding/training sessions(if needed), uniform workflow enforcement, PDF splitter, PDF extractor, viewable edit history, and neighborhood templates.

– Full Suite provides all Abstract Builder features, plus: legal description compare, integrated title exam view, exportable title exam PDF, build summary with copy/paste buttons, examiner check boxes for requirements and exceptions, and 24 month chain of title check boxes.

– Enterprise provides all Abstract Builder features and Full Suite features plus customizable pricing, training and support.

  1. b) Additional Features:

Talos Title may at times release Additional Features that be added to a user account, sometimes for an additional fee. Additional Features that require an extra fee will not be essential to the Standard Services listed above. Opt-in will be required for any fee-bearing Additional Features.  Some of the standard features may be modified in the future, and may require additional fees.

 

SUBSCRIPTIONS; TERM; RENEWAL; CANCELLATION

  1. a) Subscription Term and Renewal

– Subscriptions commence on the Order Effective Date and automatically renew on a monthly basis unless terminated as provided below.

– A full one (1) year commitment, if elected, locks in then-current pricing for the committed term.

  1. b) Cancellation and Termination for Convenience

Either party may terminate this Agreement (and any active subscription) for convenience by providing thirty (30) days’ written notice to the other party. Upon such termination, Services will end as of the effective termination date.

  1. c) Termination for Cause

Either party may terminate this Agreement effective immediately upon written notice if the other party: (i) materially breaches this Agreement and fails to cure within fifteen (15) days after written notice; or (ii) becomes the subject of bankruptcy, insolvency, or similar proceedings, or ceases to do business.

  1. d) Effect of Termination

Upon termination or expiration:

– All rights granted to Customer under this Agreement immediately cease.

– Customer must discontinue use of the Services.

– All outstanding fees for Services rendered through the termination date are immediately due and payable.

-Upon request, Talos Title will make Customer Data available for export for thirty (30) days following termination; thereafter, Customer Data may be deleted. Customer’s account must be current for return of Confidential Information and for any data export.

  1. e) Survival

The following (and any provisions which by their nature should survive) survive termination: confidentiality, data security, intellectual property, usage data, indemnification, disclaimers, dispute resolution, governing law, notices, and miscellaneous.

 

PRICING AND PAYMENT TERMS

  1. a) Pricing – Standard Services

– Abstract Builder: $0.25 per assembled page. (See Scope of Services, Standard Services, Abstract Builder for included features.)

– Full Suite: $3.00 per instrument reviewed. (See Scope of Services, Standard Services, Full Suite for included features.)

  1. b) In-App/Usage-Based Charges

Certain actions within the application incur fees (e.g., document ingestion/processing and title examinations) without separate, per-action approval prompts. By using these features, you acknowledge and agree to the associated charges as listed above.

  1. c) Invoice and Payment

Invoice Frequency: Monthly usage will be billed on the first day of each subsequent month.

Payment Due Date: Payment request will be submitted to the payment processing system on the 10th day of each month for prior month’s usage.

Currency: USD, subject to applicable laws

Forms of Payment: 

  • Bank Transfer via Stripe
  • Credit Card Payment via Stripe
  1. d) Refunds

Except when required by law, payments are nonrefundable. Any refunds, if granted, are at Talos Title’s sole discretion.

  1. e) Fee Changes

Talos Title may change per assembled page fee, per instrument fee, and/or customized pricing with at least thirty (30) days’ prior notice. New fees for Additional Features apply on an opt-in basis only.

 

ACCESS AND PRIVACY

  1. a) Access

Access to and use of the Website and Services is conditioned on your acceptance of and compliance with this Agreement and with our Privacy Policy.

  1. b) Privacy Policy

Your use of the Website and Services is subject to our Privacy Policy at www.talostitle.com/privacy_policy, which explains how we collect, use, and disclose personal information, as well as your privacy rights.

  1. c) Minors and Children

Minors under 18 require parental/guardian permission to use the Website/Services.

Children under 13 in the United States require verifiable parental consent, consistent with 15 U.S. Code § 6502 (COPPA).

 

USER ACCOUNTS; USER OBLIGATIONS

  1. a) Accounts

You are responsible for maintaining the confidentiality of account credentials and for all activities under your account. Notify us promptly of any unauthorized use or breach.

  1. b) Obligations

You represent and warrant that:

– Registration information you provide is accurate and complete and will be kept current.

– You have legal capacity and authority to enter into this Agreement.

– You will use the Website and Services only as permitted herein and in compliance with applicable laws.

– You will not use bots, scripts, or automated means except as permitted by Talos Title.

 

INTELLECTUAL PROPERTY; LICENSE

  1. a) Ownership

All software, source code, databases, functionality, designs, text, graphics, audio, video, trademarks, service marks, and other content on or in the Services are owned by or licensed to Talos Title and protected by applicable laws.

  1. b) Restrictions

No content or software may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, reverse engineered, or otherwise exploited without Talos Title’s prior written permission, except as expressly permitted by this Agreement.

 

CUSTOMER DATA; CONFIDENTIALITY; DATA SECURITY; USAGE DATA; AI/THIRD PARTIES

  1. a) Customer Data

Customer retains all right, title, and interest in Customer Data. Talos Title will access, use, or disclose Customer Data only to provide the Services, to comply with law, to improve security and operations, or as otherwise authorized in writing by Customer.

  1. b) Data Security

Talos Title will implement appropriate technical and organizational measures designed to safeguard Customer Data against unauthorized access, loss, or destruction and will promptly notify Customer of any confirmed unauthorized access to Customer Data of which Talos Title becomes aware.  Talos Title uses industry standard data protection and encryption at rest.

  1. c) Confidential Information

Each party (Receiving Party) may obtain Confidential Information of the other (Disclosing Party). 

The Receiving Party agrees to:

– Use Confidential Information solely for performing or receiving the Services;

– Protect it with at least reasonable care; and

– Not disclose it to third parties except to personnel and agents with a need to know and subject to confidentiality obligations. Confidential Information excludes information that is: (i) publicly available without breach; (ii) independently developed without reference; or (iii) rightfully received from a third party without restriction. Upon termination, each party will return or destroy the other’s Confidential Information, except as required by law or contained in routine backups (provided it remains protected). Customer’s account must be current for return of Confidential Information.

  1. d) Usage Data

Talos Title may collect, store, analyze, and use Usage Data (including anonymized or aggregated data derived from Customer’s use) to ensure operability, security, and improvement of the Services and customer experience.

  1. e) Customer Data

Talos Title is committed to maintaining the confidentiality of customer data and will not disclose it to any third parties, with the sole exception of the customer to whom the data pertains.

  1. f) Third-Party AI/Processing and Disclosures

The Services leverage artificial intelligence, large language models, visual processing models, and other data processing that may be provided by third parties. Documents and data may be processed by such providers securely and, where feasible, anonymously. You acknowledge that these technologies can make errors and that you remain responsible for reviewing and ensuring the accuracy and fitness of any outputs.

 

SERVICE LEVELS; SUPPORT

  1. a) Availability Commitment

Talos Title will use commercially reasonable efforts to make the Services available 99.5% of the time during each calendar month, excluding scheduled maintenance and factors outside Talos Title’s reasonable control. Scheduled maintenance will typically occur during off-peak hours with at least 48 hours’ notice.

  1. b) Service Credits

If Talos Title does not meet the availability commitment in a calendar month, Customer may request a service credit equal to 5% of the monthly subscription fee for each full percentage point below 99.5% availability, up to 25% maximum. Customer must request any service credit in writing within 15 days after the end of the relevant month. Service credits are Customer’s sole and exclusive remedy for failure to meet the availability commitment.

  1. c) Support Channels and Hours

Hours: 7:00 AM–7:00 PM CST, Monday–Friday, excluding standard holidays.

Customer must submit incidents via a designated channel. Talos Title will use reasonable efforts to resolve incidents promptly.

  1. d) Target Response Times

– Critical (Service inaccessible or severely impacted): within 4 business hours

– Major (key functionality impaired; workaround available): within 8 business hours

– Minor (non-critical questions or cosmetic issues): within 24 business hours

  1. e) SLA Exclusions

The service level commitment does not apply to unavailability resulting from: (i) Customer’s use in violation of this Agreement; (ii) issues caused by Customer equipment, networks, or third-party services not controlled by Talos Title; (iii) factors outside Talos Title’s reasonable control.

 

UPGRADES AND CHANGES

Talos Title continually enhances the Services based on research and customer feedback. Talos Title will make a best effort to notify Customer in advance of any significant change in functionality. Many enhancements will be included at no additional cost; some new features may require additional fees on an opt-in basis.

 

PAYMENTS – GENERAL TERMS; IN-APP FEES

– Forms of payment are as listed in “Pricing and Payment Terms” and any additional methods shown at the time of payment. Talos Title may reject a payment for any reason.

– In-app or usage-based actions (e.g., document ingestion/processing or initiating a title examination) incur fees as set forth in the Pricing and Payment Terms and are chargeable without separate per-action confirmation prompts.

 

PROHIBITED ACTIVITIES

You may not:

– Systematically retrieve data or content to create compilations without written permission.

– Trick, defraud, or mislead users or Talos Title, including attempting to obtain passwords.

– Circumvent or interfere with security features or copy protections.

– Disparage, tarnish, or harm Talos Title or the Services.

– Harass, abuse, or harm any person or group using information from the Services.

– Misuse customer support or submit false reports.

– Use the Services inconsistently with intended purposes or applicable laws.

– Engage in spam or unauthorized linking for commercial purposes.

– Upload or transmit malware, viruses, trojans, or disruptive code.

– Use unauthorized automated tools, bots, scrapers, or data mining tools.

– Remove proprietary notices.

– Impersonate another person or user.

– Upload passive/active information collection mechanisms (e.g., web bugs, 1×1 pixels, spyware) except as permitted by Talos Title.

– Interfere with networks or place undue burdens on the Services.

– Harass, intimidate, or threaten users, staff, or affiliates.

– Bypass access restrictions.

– Copy or adapt the Services’ software, including but not limited to Flash, PHP, HTML, or JavaScript.

– Reverse engineer, decompile, or disassemble the Services’ software.

– Use or distribute automated systems except standard search engines or browsers.

– Use purchasing agents to make purchases on the Website.

– Collect user data for unsolicited communications or create accounts under false pretenses.

– Use the Services to compete with Talos Title or for any unauthorized revenue-generating purpose.

– Advertise or sell goods/services through the Services without consent.

– Sell or transfer your account.

 

GUIDELINES FOR REVIEWS

If you post reviews or ratings:

– You should have firsthand experience.

– Do not use offensive, abusive, discriminatory, or profane language.

– Do not reference illegal activity or make legal conclusions about products/services.

– Do not coordinate negative reviews with competitors or post false or misleading statements.

– Do not organize campaigns to post reviews (positive or negative). Talos Title may accept, reject, or remove reviews at its discretion. By posting, you grant Talos Title a perpetual, nonexclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, translate, transmit, display, perform, and distribute content related to such reviews.

 

THIRD-PARTY WEBSITES AND CONTENT

The Services may link to third-party sites and services. Talos Title is not responsible for third-party content, policies, practices, or services. You hold Talos Title harmless for actions occurring on third-party sites or services.

 

SITE MANAGEMENT

We may:

– Monitor the Services for violations of this Agreement.

– Take appropriate legal or remedial action, including against fraud or harm.

– Restrict, limit, disable, or remove files or content that are burdensome to systems or users.

– Otherwise manage the Services to protect rights, property, and optimal operation.

 

COPYRIGHT POLICY; DMCA

  1. a) IP Infringement

Talos Title respects IP rights and responds to claims of infringement. If you believe your IP is used without authorization, contact us with a detailed description.

  1. b) DMCA Notices

Submit DMCA notices per 17 U.S.C. 512(c)(3) including: (i) signature of owner/authorized agent; (ii) description of the work and location (URL) or copy; (iii) contact details; (iv) good-faith statement; and (v) statement under penalty of perjury that information is accurate and you are authorized. Upon receipt, Talos Title will take required steps, which may include removing or disabling access to the material.

 

USAGE DATA

You acknowledge and agree that Talos Title may collect, store, analyze, and use Usage Data to operate, secure, and improve the Services and user experience.

 

PRIVACY; DATA STORAGE; RISK OF LOSS

We may store certain data transmitted through the Services. You are solely responsible for data you transmit and activities undertaken using the Services. Talos Title is not liable for loss, breach, or corruption of any data, and you waive any related claims, except as expressly provided in this Agreement.

 

GOVERNING LAW

This Agreement is governed by the laws of the jurisdiction in which Talos Title is organized and operates, without regard to conflict-of-laws rules. Your use may also be subject to other local, state, national, and international laws.

 

DISPUTE RESOLUTION

Prior to formal proceedings, the parties shall attempt to resolve disputes by contacting the other party.

  1. a) Mediation

If unresolved, the parties shall mediate for 30 days with at least 10 hours committed by each party, under the procedures of United States Arbitration & Mediation. Costs are shared equally.

  1. b) Arbitration

If mediation fails, the dispute will be submitted to binding arbitration in the governing law’s jurisdiction. Talos Title may also bring proceedings regarding the substance of any dispute in the courts of the country where either party resides.

 

“AS-IS” DISCLAIMER

The Website and Services are provided on an “as is,” “where is,” and “as available” basis, with all faults. To the maximum extent permitted by law, Talos Title and its affiliates, licensors, and service providers disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and those arising from course of dealing or usage. Talos Title makes no warranty that the Services will meet requirements, achieve intended results, be compatible, operate uninterrupted or error-free, or be free of harmful code. Some jurisdictions do not allow certain exclusions, so some limitations may not apply.

 

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Talos Title, its subsidiaries, affiliates, officers, agents, partners, and employees from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (i) your content; (ii) your use of or inability to use the Services; (iii) your breach of this Agreement; (iv) any breach of your representations and warranties; (v) your violation of third-party rights (including IP); or (vi) any harmful acts toward other users. Talos Title may assume exclusive defense and control of matters subject to indemnification at your expense, and you agree to cooperate.

 

NOTICES

Unless stated otherwise, notices to Talos Title must be sent to customersupport@talostitle.com. Notices to you will be sent to the email on your account or at time of purchase. If mailed, use: TitleVision, LLC d.b.a. Talos Title, PO Box 82279, Baton Rouge, LA 70884.

 

ELECTRONIC MEANS

By using the Services, you consent to electronic records, signatures, and communications, and agree they satisfy any legal writing requirements. You waive requirements for original signatures or non-electronic records.

UNITED STATES FEDERAL GOVERNMENT END-USER PROVISIONS

For U.S. federal government users, the Services are “commercial items” as defined under 48 C.F.R. § 2.101.

 

MISCELLANEOUS

This Agreement is the entire agreement between you and Talos Title concerning the Services and supersedes prior or contemporaneous agreements and understandings (including any previously separate SaaS Sales and Pricing Agreement, which is now merged herein). Failure to exercise any right is not a waiver. We may assign our rights and obligations at any time. We are not liable for delays or failures caused by events beyond our reasonable control. If any provision is unlawful or unenforceable, it is severable and the remainder remains in effect. No joint venture, partnership, employment, or agency relationship is created. This Agreement will not be construed against Talos Title as drafter. If translated, the English version controls in any dispute.

 

ACKNOWLEDGEMENT AND ACCEPTANCE

By accessing or using the Services, clicking to accept, or signing below (as applicable), you acknowledge that you have read, understood, and agree to be bound by this Agreement, including the Pricing and Payment Terms and Service Levels herein.
